Terms of Service
Please read these Terms carefully before using the VPNVendor platform. They explain your rights and obligations when ordering managed VPN server subscriptions, using the control panel, and provisioning end-user access.
1. Agreement
These Terms of Service ("Terms") govern your access to and use of the VPNVendor platform, website, billing portal, server control panel, related APIs, documentation, and any associated services (collectively, the "Services").
The Services are provided by a Ditta Individuale (sole proprietorship) registered in Italy, registration number VAT IT01812780086, trading under the name "VPNVendor" ("VPNVendor", "we", "us", or "our").
By creating an account, placing an order, checking the acceptance box at registration or checkout, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.
These Terms form a binding contract between you ("Customer", "Manager", or "you") and VPNVendor. If you use the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity.
2. Description of the Services
VPNVendor provides subscription-based access to managed VPN server infrastructure for business managers and resellers.
Through the Services you may:
• order and renew VPN server plans through our billing portal;
• access a web-based control panel to manage servers and end-user accounts;
• create end-user records that receive unique client identifiers;
• allow end users to retrieve VPN application configurations through our separate client-access converter service, without manual distribution of raw private keys by you.
Each plan defines limits such as the maximum number of end users, traffic volume, and supported protocols. We may modify plan parameters, supported locations, or technical features from time to time, provided that such changes do not materially reduce paid features during an active prepaid term except where required for security, legal compliance, or abuse prevention.
The Services are intended for lawful business use. VPNVendor is an infrastructure and automation platform. You remain responsible for your relationship with your end users and for ensuring that their use complies with applicable law and these Terms.
3. Eligibility and Account Security
You must be at least 18 years old, or the age of majority in your jurisdiction if higher, to use the Services. You must provide accurate registration information and keep your account details current.
You are responsible for safeguarding your login credentials, API tokens, panel access, and any client identifiers you issue. Notify us promptly if you suspect unauthorized access to your account. We are not liable for losses arising from compromised credentials that you failed to protect.
We may refuse registration, suspend, or terminate accounts that provide false information, pose a fraud or abuse risk, or violate these Terms.
4. Subscriptions, Billing, and Payment
Services are generally offered on a recurring subscription basis ("Subscription"). When you purchase a Subscription, you agree to pay the fees shown at checkout for the selected billing cycle ("Billing Cycle").
Unless stated otherwise at purchase:
• Subscription fees are billed in advance for each Billing Cycle.
• Subscriptions renew automatically at the end of each Billing Cycle at the then-current renewal price unless you cancel before renewal or we terminate the Services.
• Available payment methods are shown in the billing portal. VPNVendor may accept cryptocurrency and other methods as displayed during checkout.
• All fees are exclusive of applicable taxes, bank fees, network fees, or currency conversion charges, which are your responsibility.
• Except where required by applicable law or explicitly stated in writing, fees are non-refundable once a Billing Cycle has started.
If payment fails or an invoice remains unpaid, we may suspend or terminate the affected Services after reasonable notice. Suspension does not relieve you of payment obligations for amounts already due.
You authorize us and our payment processors to charge the payment method on file for recurring Subscription fees and any approved add-ons.
5. Trials, Promotions, and Affiliates
We may offer free trials, promotional pricing, or affiliate programs from time to time. Additional terms may apply to those offers. We may modify or discontinue promotions at any time.
Trial access is provided "as is" and may be limited in duration, capacity, or features. At the end of a trial, continued use requires conversion to a paid Subscription unless we agree otherwise in writing.
6. Acceptable Use Policy
You and any end users you provision must use the Services only for lawful purposes. You agree not to use, and not to permit end users to use, the Services to:
- violate any applicable law, regulation, court order, or third-party rights;
- send spam, phishing messages, or other unsolicited bulk communications;
- probe, scan, exploit, or attack networks, systems, or accounts without authorization;
- distribute malware, ransomware, botnets, or conduct denial-of-service attacks;
- engage in copyright infringement, fraud, harassment, or trafficking in illegal goods or content;
- promote or facilitate terrorism, child sexual abuse material, or similarly unlawful activity;
- attempt to bypass plan limits, authentication, billing controls, or technical restrictions;
- resell, sublicense, or share the Services except as expressly permitted by your plan and these Terms;
- misrepresent your identity, impersonate others, or use the Services in a manner that harms VPNVendor, other customers, or the public internet.
Because VPN traffic may be encrypted, we cannot fully monitor its contents. You remain solely responsible for end-user conduct and for investigating complaints relating to users you create. We may suspend or terminate Services immediately for suspected abuse, illegal activity, or material breach of this section.
We may block certain ports or protocols where necessary to reduce abuse, including outbound SMTP on port 25.
7. Manager Responsibilities and End Users
If you create end-user accounts or distribute client identifiers, you act as the primary contact for those users unless we agree otherwise. You must:
- inform end users that their use is subject to lawful purposes and acceptable use restrictions;
- not represent VPNVendor as the direct contractual provider to your end users unless authorized in writing;
- maintain records reasonably necessary to respond to abuse reports involving your users;
- promptly disable access for users who violate law or these Terms.
VPNVendor may require you to flow down terms substantially similar to Sections 6 and 8 to your end users. Failure to enforce appropriate rules among your users may result in suspension of your account.
8. Privacy and Data
Our handling of personal data is described in our Privacy Policy, when published, and in our billing and support processes. By using the Services, you acknowledge that operational data such as account details, billing records, server metrics, connection metadata, and support communications may be processed to provide, secure, and bill the Services.
You are responsible for providing any required notices to your end users and for obtaining any legally required consents for data you submit to the Services.
We may process and store data on servers located in different countries. You consent to such transfers where permitted by applicable law.
9. Intellectual Property
VPNVendor and its licensors retain all rights in the Services, software, branding, documentation, and underlying technology. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business operations during an active Subscription.
You may not reverse engineer, copy, modify, create derivative works of, or remove proprietary notices from the Services except to the extent such restriction is prohibited by applicable law.
10. Service Availability and Support
We strive to maintain reliable Services but do not guarantee uninterrupted or error-free operation. Maintenance, upgrades, network failures, third-party provider outages, and force majeure events may cause temporary unavailability.
Support is provided through the channels listed in the billing portal, such as support tickets and the knowledge base. Response times may vary by plan and issue severity.
11. Suspension and Termination
You may cancel a Subscription through the billing portal or by contacting support, subject to the cancellation mechanics applicable to your Billing Cycle. Cancellation stops future renewals but does not automatically entitle you to a refund for the current Billing Cycle unless required by law.
We may suspend or terminate your access immediately if you breach these Terms, fail to pay amounts due, create legal or security risk, or if continued provision becomes unlawful or impracticable.
Upon termination, your right to use the Services ends. We may delete account data after a reasonable retention period, except where retention is required by law or legitimate business needs such as billing records and fraud prevention.
12. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
VPNVendor does not warrant that the Services will meet your requirements, that VPN connectivity will be available at all times, that traffic will never be blocked by third parties, or that the Services will make you anonymous or immune from legal process. A VPN changes routing and encryption; it does not make unlawful activity legal.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VPNVENDOR AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VPNVENDOR'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO VPNVENDOR FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD 100).
Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the fullest extent permitted by law.
14. Indemnification
You agree to defend, indemnify, and hold harmless VPNVendor and its affiliates, officers, employees, agents, and partners from and against claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Services; (b) end users you provision; (c) your breach of these Terms; or (d) your violation of law or third-party rights.
15. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will post the updated Terms on our website and update the effective date. Continued use of the Services after the effective date of revised Terms constitutes acceptance, except where applicable law requires additional consent.
16. General Provisions
These Terms, together with any order forms, plan descriptions, and policies referenced herein, constitute the entire agreement between you and VPNVendor regarding the Services and supersede prior understandings on the same subject.
If any provision is held invalid or unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
Sections that by their nature should survive termination will survive, including payment obligations, acceptable use, disclaimers, limitation of liability, and indemnification.
